1. INTRODUCTION

Purpose.

The purpose of this Privacy Policy is to describe how Sqord, Inc. ("Company") collects, uses and shares information about users through our U.S. online interfaces (e.g., websites and mobile applications) owned and controlled by us, including www.sqord.com (collectively referred to herein as the "Site"). Our Privacy Policy explains:

Scope; Third Party Sites.

This Privacy Policy applies only to information we collect at and through the Site. Our Site may also contain links to third party sites that are not owned or controlled by Company. Please be aware that we are not responsible for the privacy practices of such other sites. We encourage users to be aware when they leave our Site and to read the privacy statements of each and every website that collects personal information.

COPPA Compliance.

We ensure that our Site and our information collection policies comply with the Children's Online Privacy Protection Act ("COPPA"), a U.S. law designed to protect the online privacy of children under the age of 13. 2. INFORMATION WE COLLECT AND WHY WE COLLECT IT

Information You Provide To Us.

When users, including children under 13, register on sqord.com, we first ask them to enter a first name and last name, their user name and a password, and to provide, for children under 13, their parent or legal guardian's email address. Users 13 or older will provide their own email address. When a Sqord user registers by acquiring a paid membership and/or a SyncStation, we may collect additional personally identifiable information ("PII") from the registrant, or, if the registrant is under 13, the registrant's parent. The types of PII that may be collected at that time include the registrant's (or, if the registrant is under 13, the registrant's parent's) full name, email address, mailing address, credit card or debit card billing information, height, weight, birth date and gender. We use this PII to process payments to Sqord and for fraud prevention purposes. The Site does not condition a child's participation in an online activity on the child providing more personal information than is reasonably necessary for that activity.

The Site requires users under 13 to provide a parent's valid email address in order to register on the Site and purchase a Sqord membership to participate in the Sqord activities. The Sqord activities include viewing content, choosing a PowerMe graphic character, and providing content to the Site, including by uploading activity data to the Site, joining a Sqord team and using our social messaging functions. We use the parent's email address to send the parent a message that can be used to activate the Sqord account upon receipt of payment, to notify the parent about our privacy practices, and to send the parent communications either about the parent's and child's Sqord accounts or about features of our website, and for such other purposes as described in this Privacy Policy. This email address is correlated with the account user name. We may also use this email address to send promotional messages regarding Company (with the permission of the user or, for a user under 13, the parent of the user) or to address any customer service queries, such as password retrieval.

We enable users to communicate online with other users on that user's "team", which is the core group of Sqord users that a user will see on their user interface and interact with on a regular basis, sometimes a subset of a larger organization. (For example, in a school setting, a Team might be a classroom, or a previously existing sports team or club.) Social messaging functions include a "Status" (a message that is communicated by a player to everyone on the team to express his or her current thoughts, selected from a fixed menu), a "Squawk" (a communication between two users, selected from a fixed menu), a "High Five" (positive communications from one user to another in congratulations or support of an achievement), or notification of a win or a loss. Statuses and Squawks are selected from a fixed menu so users cannot communicate personal information through these social messaging functions, and parents have the ability to block or report questionable user names. We strongly discourage users from disclosing PII in their user name.

Information We Collect Automatically. We may collect certain information automatically from Site visitors to support the internal operations of the Site, such as

Cookies.

When a user visits our Site we send one or more "cookies" to the user's computer or other device. A cookie is a small file containing a string of characters that is sent to your computer when you visit a website. When you visit the website again, the cookie allows that site to recognize your browser. Cookies may store unique identifiers, user preferences and other information. You can reset your browser to refuse all cookies or to indicate when a cookie is being sent. However, some Site features or services may not function properly without cookies. We use cookies to improve the quality of our service, including for storing user preferences, tracking user trends and providing relevant Sqord promotional material.

Pixel Tags.

We may use "pixel tags," also known as "web beacons," which are small graphic files that allow us to monitor the use of our Site. A pixel tag is a type of technology placed on a website or within the body of an email for the purpose of tracking activity on websites, or when emails are opened or accessed, and is often used in combination with cookies. A pixel tag can collect information such as the IP (Internet Protocol) address of the computer that downloaded the page on which the tag appears; the URL of the page on which the pixel tag appears; the time the page containing the pixel tag was viewed; the type of browser that fetched the pixel tag; and the identification number of any cookie on the computer previously placed by that server.

3. HOW WE USE AND SHARE YOUR INFORMATION

To Provide Products, Services, and Information.

In addition to the purposes described in Section 2, we collect information from users and parents so that we can provide products and services that are purchased using the Site, and provide information that users and parents request from us. We use personal information to contact users and parents about orders, process credit card transactions, and ship products. We may send users and parents information about our products and services, and new offerings. We may use demographic information (i.e., gender, birth date and country of residence) and information in the aggregate to better understand our customers, and improve our products and services. We may also use email addresses and user names to enable parents to review PII that their children have submitted to the Sqord website.

To Provide Support for Internal Operations.

We may use third parties to help us provide support to the internal operations of the Site (i.e, hosting our Site, sending out email updates about the Site, providing contextual advertising on the Site, removing repetitive information from our user lists, processing orders and payments, and fulfilling and delivering products and services that are purchased from us). These service providers will have access to personal information in order to provide these support services, but when this occurs we implement reasonable contractual and technical protections to limit their use of that information to helping us provide the service.

To Provide Non-Identifiable Information to Third Parties.

We monitor users' use of the Site and aggregate user data (which includes personal user information) so that the data is not in identifiable form. You agree that Company retains a royalty-free, irrevocable, transferable right and license in such user data, and that we may sell or otherwise make such aggregated user data available to third parties, including parties who may provide contextual advertising on the Site, but only so long as (1) such information transferred to third parties does not include any identifiable personal information and (2) the provision of such information otherwise complies with all applicable laws. We do not disclose any PII to third parties, other than to provide support for our internal operations.

Legal Proceedings.

We will share personal information with third party companies, organizations or individuals outside of Company if we have a good-faith belief that access, use, preservation or disclosure of the information is reasonably necessary to:

Transfer in the Event of Sale or Change of Control.

If the ownership of all or substantially all of our business changes or we otherwise transfer assets relating to our business or the Site to a third party, such as by merger, acquisition, bankruptcy proceeding or otherwise, we may transfer or sell personal information to the new owner. In such a case, unless permitted otherwise by applicable law, personal information would remain subject to the promises made in the applicable privacy policy unless you agree differently.

4. ACCESS TO YOUR INFORMATION AND CHOICES

Accessing and Updating Your Account.

You can access and update certain information we have relating to your online account by signing into your account. You can opt-out of receiving marketing and promotional e-mails from Company by using your Account page, and by using the opt-out or unsubscribe feature contained in the e-mails.

Closing Your Account.

You can close your online account by clicking on Contact Us or emailing us at hello@sqord.com. If you close your account, we will no longer use your online account information or share it with third parties. We may, however, retain a copy of the information for archival purposes, and to avoid identity theft or fraud.

Children's Personal Information.

Parents and legal guardians of children under 13 may Contact Us or email us at hello@sqord.com to review, update or delete any of their children's personal information that we have collected and to elect for us not to collect any additional personal information from their children.

5. SECURITY OF YOUR INFORMATION

We use industry standard physical, technical and administrative security measures and safeguards to protect the confidentiality and security of your personal information. However, since the Internet is not a 100% secure environment, we cannot guarantee, ensure, or warrant the security of any information you transmit to us. There is no guarantee that information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards. It is your responsibility to protect the security of your login information. Please note that e-mails and other communications you send to us through our Site are not encrypted, and we strongly advise you not to communicate any confidential information through these means.

6. INTERNATIONAL PRIVACY PRACTICES

Company's websites, including websites directed to residents in countries and jurisdictions outside of the United States, are operated and managed on servers located and operated within the United States. By using and accessing our Sites, residents and citizens of countries and jurisdictions outside of the United States agree and consent to the transfer to and processing of personal information on servers located in the United States, and that the protection of such information may be different than required under the laws of your residence or location.

7. CHANGES TO OUR PRIVACY POLICY

Our Privacy Policy may change from time to time. We will post any privacy policy changes on this page and, if the changes are significant, we will provide a more prominent notice (including, for certain services, email notification of privacy policy changes). We will also keep prior versions of this Privacy Policy in an archive for your review.
